Employee Incentives Senior Lawyer - London Location London Team Employee Incentives Level Associate The Team We are a dedicated team of experts that specialises in advising on the design and implementation of remuneration structures and incentive plans, providing assistance in their operation, and advising on the impact of corporate transactions on the rights of participants. The team advises on all aspects of employee benefits, including the design, implementation and communication of senior executive and employee incentive plans, the establishment and operation of employee benefit trusts, executive tax planning (including those who are mobile internationally), as well as corporate governance, regulatory and compliance matters. The team acts for a wide range of clients from venture capital entities to multinational companies. The team provides support to the firm's corporate teams on transactional matters, including PE deals, mergers and acquisitions, flotations and business reconstructions. Duties We are keen to speak to experienced lawyers who have experience in a similar role, in a law firm and/or accountancy practice. Your share schemes workload will involve a mix of transactional/corporate support work and advisory work, which will vary according to deal activity. The role will involve advising on the drafting and implementation of tax advantaged and non-tax advantaged share schemes, such as growth shares, JSOP, EMI, CSOP and LTIP. You will be advising on both the corporate and tax aspects of the implementation of such schemes, as well as providing regulatory advice and drafting employee communications. The transactional work will include acting on public and private M&A deals. Clients for advisory work include GVC, Britvic, William Hill and JD Sports. You will manage your own workload, but also work closely with the partners in the incentives, employment and tax teams. As a senior lawyer you will play a role in helping the team develop and build relationships with new and existing clients through business development initiatives. Internally you will play a key part in shaping and driving the development of the team, including the supervision of junior members, and there will be plenty of opportunity for you to take on additional responsibility and advance your career. Although the role will be based in London, the team provides incentives support to the offices in Manchester, Leeds and Scotland, and therefore the role may involve travel to those locations. Purpose of the Role The team advises on all aspects of employee benefits, including the design, implementation and communication of senior executive and employee incentive plans, the establishment and operation of employee benefit trusts (to support share plans and as wealth creation vehicles), executive tax planning (including those who are mobile internationally), as well as corporate governance, regulatory and compliance matters. The team acts for a wide range of clients from venture capital entities to multinational companies. The team provides support to the corporate teams on transactional matters, including PE deals, mergers and acquisitions, flotations and business reconstructions. Duties The candidate should have at least one years' experience PQE level in a similar role, in a law firm and/or accountancy practice. Candidates who have a background as a corporate, tax or employment lawyer would also be considered. Primarily a share schemes associate, there is flexibility to include some mainstream corporate work if that interests the candidate (or possibly a share with another team, such as pensions, tax or employment might be considered).
