Job Description
Job Title: Mergers and Acquisitions (M&A) Lawyer Location: This role is based from our London office Cognizant has an opening for a lawyer with strong relevant in mergers and acquisitions to join the M&A legal group and support the Company's Corporate Development department, with an emphasis on European transactions though able to handle transactions internationally. The ideal candidate would have law firm and/or in-house experience managing M&A acquisitions, ideally with respect to technology and/or professional services companies. Key Responsibilities Include: * Supporting the Corporate Development department in drafting definitive transaction documents and various other acquisition-related documents (confidentiality agreements, engagement letters, indications of interest, letters of intent, etc.). Must be able to take on the role of lead M&A deal lawyer, providing leadership and/or support for all elements of a transaction, including structuring, overall due diligence, documentation and coordinating signing and closing. * Performing legal due diligence on target companies. * Actively engaging with other specialists supporting the Corporate Development department, including tax, finance and accounting, HR, IP, commercial contracting, ethics & compliance, privacy, IT and security. * Providing support to Corporate Development's integration group with respect to developing and executing on integration plans for acquired businesses. * Coordinating and overseeing the work of outside M&A counsel. * Providing legal counsel on a diverse range of matters related to Corporate Development and the M&A activities of the Company. Desired Qualifications: * English qualified solicitor or other European qualified lawyer; may consider U.S. qualified with sufficient European deal experience. * Top law firm experience focused on mergers and acquisitions (public and private) in Europe (additional in-house experience a plus but not required). * Diverse and complex M&A transactional experience and the ability to leverage that experience in new settings. * Must have the ability to organize, plan, coordinate and implement large and ongoing projects and the ability to work independently and as part of a team. * Must have the ability to contribute to discussions of general business issues; and understand and counsel internal stakeholders in a manner consistent with the Company's goals and culture. * Must have excellent written and oral communications skills. * Must have the flexibility and ability to work with fast-changing priorities.
