About this Opportunity The Executive Director/Associate General Counsel will be required to manage and oversee the negotiation and review of all commercial agreements for DTCC subsidiaries in EMEA, provide regulatory advice and support with regard to regulated activities in the region including liaison with ESMA and UK FCA as required. The role will be required to manage the EMEA legal team on a day -to -day basis and develop the capabilities of the team over time. In addition, the job holder will be required to support other functions such as Government Relations, Regulatory Relations, Finance and strategic product initiatives related to all legal entities and associated products/services Business Unit: Counsel's Office The General Counsel's Office is a valued, trusted and responsive partner within DTCC. The team promotes and protects the best interests of the DTCC family of companies by creating and facilitating solutions and providing guidance on legal and regulatory matters. What You'll Do * Operate independently as senior legal counsel to senior business leaders in EMEA region; * Provide legal and regulatory advice in the development and structuring of new business initiatives * Provide legal and regulatory advice on risk issues, including issues regarding all EMEA regulated entities * Support and respond to regulatory investigations, RFIs and examinations * As required, represent DTCC on industry committees and initiatives * Negotiate and oversee conclusion of contractual relationships with clients, suppliers, vendors and partners * Advise Board and Senior Management on non -standard legal and contractual risks * Evaluate and respond to changes in UK and EU legal and regulatory requirements as they arise * Interact with DTCC departments in response to relevant requests (e.g. Compliance, Audit, Finance, Marketing) * Ensure contract template changes are managed and coordinated with other regions (US and APAC) * Partner with CSO, Risk and Compliance to support regional regulatory and compliance policies * Support Deputy General Counsel on ad hoc projects across the department and the region * Fosters a risk management culture through implementation and demonstration of processes and procedures which identify and mitigate risk Sound Like You? * 15+ years minimum or related experience * Bachelor's degree preferred with Masters or equivalent experience Additional Qualifications * Qualified Lawyer (LLB or equivalent) * Approx. 15 years corporate/commercial experience (Prior in house experience preferred) * Significant experience with financial services preferred * Exposure to financial services regulators preferred * Material experience of data and/or software licensing terms Who We Are With over 45 years of experience, DTCC is the premier post-trade market infrastructure for the global financial services industry.
