Background The C40 Cities Climate Leadership Group, now in its 15th year, connects 96 of the world's greatest cities which have committed to tackling climate change. We bring mayors from around the world together to learn from each other in reducing greenhouse gas emissions and creating resilient, sustainable and low carbon cities. C40 cities represent more than 700 million urban citizens and their economies account for 25% of the global GDP. C40's 'Deadline 2020' report sets out the critical role that the world's major cities have to play in delivering the historic Paris Agreement to prevent catastrophic climate change. C40's team of 200+ staff is headquartered in New York, with offices in London, Rio de Janeiro, Copenhagen, Beijing and Paris, and individual staff based across 25+ different locations, with the Office of the Chair based in Los Angeles. The strategic direction of the organization is determined by an elected Steering Committee of C40 mayors which is chaired by the Mayor of Los Angeles, Eric Garcetti. Three-term Mayor of New York City Michael R. Bloomberg serves as President of the C40 Board of Directors, which is responsible for operational oversight. A nine-person management team, led by Executive Director, Mark Watts, leads the day-to-day management of C40. C40's three core strategic funders are Bloomberg Philanthropies, the Children's Investment Fund Foundation (CIFF), and Realdania. Executive Director's Office The Office of the Executive Director oversees the management of the C40 Board of Directors and fundraising and is responsible for supporting the day-to-day activities of the Executive Director, including his responsibilities in the management of C40's key stakeholder relationships. Position Description The Governance Manager will play a central role in supporting the Executive Director's Office to coordinate C40's various corporate boards (US, UK, South Africa and Denmark). The role will manage all board and committee meetings. Responsibilities: * Manage the coordination and processes of the corporate boards of various not-for-profit group companies registered in the United States, United Kingdom, South Africa and Denmark. * develop agendas, materials, meeting coordination and logistics, create timelines, record minutes, maintain minute books manage any committees established by boardsdraft or review relevant board papers related to all C40 entities (US, UK, South Africa and Denmark)review of all board papers prior to internal legal reviews * Work with the legal team to prepare annual meetings in compliance with local regulations; manage the voting and proxy processes. * Make travel arrangements for board members and monitoring board travel budget. * Working with other members of the Executive Director's Office, schedule board meetings and briefings of high-level directors. * Manage the C40 US Finance and Audit Committee - including the process, papers, working closely with programme staff across the organization. * Produce materials to induct and onboard for new board members. Person Specification: * Experience in City administration, funding and/or NGO sector with a strong focus on stakeholder management in a governance or corporate secretarial role. * Demonstrable experience working with a Board of Directors/ Trustees or in a political organisation supporting a committee. * Knowledge of corporate regulatory requirements in the UK or the US such as company law, charity law, general corporation laws of U.S. states, U.S. 501(c) regulations, governance best practices, interpretation of bylaws and articles, etc. * Ability to make judgement calls to determine recommendations to make to a board, e.g. new policies based on updated regulations; issues to be escalated to a Board; etc. * Strong planning and organizational skills. * Strong problem-solving, creative, interpersonal skills coupled with an outcome, delivery-oriented approach. * A high level of initiative and ability to work independently. * Strong analytical capabilities. * International experience, particularly working across different cultures, languages and time. * Highly professional; ability to communicate effectively with senior professionals. * Strong written and verbal English language skills. Other Requirements: Applicants must already have the right to work in the United Kingdom or the United States of America. Occasional travel will be required as part of the role.
