**Corporate Counsel (London, UK)** **Job Description** We are seeking someone with a strong legal background (either law firm or in-house) to join our team as a Corporate Counsel to assist in building iCIMS' global business. Based in our London office, and reporting to the Assistant General Counsel in the U.S., the Corporate Counsel primarily will deliver and support our legal processes for our in European business and in other areas as we grow our global presence. To succeed, you'll need to be able to expertly identify nuanced legal issues with an eye to our business needs, and devise ways for the business to forge ahead when faced with potential roadblocks. This is a fantastic opportunity for someone to join a fast-growing, evolving technology company and help drive exciting new initiatives. **Responsibilities:** The role will focus on the following key areas: Act as the primary point of contact in the Legal Department for iCIMS' day-to-day UK and European business. Negotiate global, complex customer and vendor contracts, including, subscription, software licensing and services arrangements, as well as, partner and alliance agreements. Partner with the Privacy and Regulatory team to develop and maintain compliance programs and policies for iCIMS' privacy and data protection obligations, including the General Data Protection Regulation (GDPR), the forthcoming UK GDPR, and other EU specific regulations, as well as evolving privacy regimes in other parts of the world. Assist the Privacy and Regulatory team in staying abreast of applicable UK, European and other legal and regulatory requirements, and assist in driving compliance through drafting, reviewing, updating, and helping to audit and enforce internal policies and procedures, as well as, conducting various compliance training workshops. Represent iCIMS in discussions with customers, partners and vendors about privacy, regulatory and other requirements, and cutting edge issues such as data subject access requests, data analytics, artificial intelligence, machine learning and information security. Help enable the business to execute on commercial changes by understanding and providing guidance on relevant legal and compliance issues. Participate in conducting annual privacy and regulatory compliance risk management assessment Help address global employment matters in collaboration with Talent/Human Resources, including country-specific employment arrangements, proprietary rights protection, non-compete arrangements, immigration matters, employee grievances, and employment terminations. Conduct research on a variety of legal issues and act as an advisor to internal customers on a variety of legal matters. Assist with litigation and dispute resolution matters, as necessary. Consistently ensure that business is conducted with integrity at all times and that behavior aligns with iCIMS policies, procedures, and core competencies. **Qualifications:** Qualified lawyer with minimum of 5 years PQE at a law firm and/or prior in-house experience (in-house preferred) with negotiating complex software as a service, software licensing, and/or other technology transactions required. 6+ years of related experience is preferred. Experience with the EU's GDPR and other global privacy and data protection laws required. Specific desired experience includes such privacy laws as the EU's GDPR, the UK Data Protection Act 2018, the Canadian Personal Information Protection and Electronic Documents Act, and the California Consumer Privacy Act (CCPA). Fluent written and verbal English language skills required; proficiency in German and French highly desired Experience in researching and analyzing global laws and regulations. Ability to work independently, while being a collaborative member of the team Ability to analyze case law and provide recommendations. Strong communication and interpersonal skills. Strong customer orientation focus and success in creating a superior customer experience. Ability to effectively communicate orally and in writing with management and company employees. Experience working with U.S-headquartered or other companies operating in multiple global markets. Experience working with a Legal team distributed across multiple companies preferred.
