Job Description

The position of VP, Legal oversees international legal requirements and risks, and handles the legal execution of key corporate projects as directed by the General Counsel, such as mergers & acquisitions, and major corporate development projects. + Execution and completion of corporate transactions + Oversight of international legal work and issues + FCPA, Anti-bribery, Anti-money laundering and export/OFAC compliance + Special projects as assigned by GC, CEO and CFO + IPO preparation Additional Responsibilities: + Responsible for negotiating, drafting and interpreting complex business contracts, including but not limited to third party service agreements, sales and marketing agreements, promotional agreements, licenses, and intellectual property and software license agreements. + Minimum 10 years' experience in commercial transactions, negotiating, drafting and interpreting complex business and intellectual property contracts + JD and BA / BS degrees plus state bar membership required + Strong business fluency in English required + Strong research and writing skills, experience drafting legal memoranda + Ability to prepare clear, concise and complete legal documents, reports, correspondence and other communications on complex legal issues + Excellent negotiation skills and the ability to influence others; strong execution abilities and the ability to drive results in a collaborative environment + Requires someone who can operate in a fast paced environment and handle multiple projects under time constraints + Must be able to maintain a high degree of confidentiality + Significant client contact at the senior management level - strong communication and interpersonal skills required + Occasional travel required Key Results and Deliverables (What does success look like): + A charismatic and credible communicator who leads by example. + Highly responsible, self-motivated, and able to thrive in an energetic, fast pace, high growth, entrepreneurial environment. + Strong team player who can build strong relationships at all levels of the organization. + Have excellent communication skills - written, verbal, presentation and interpersonal. + An ethical and proactive leader who can maximize the resources of a start-up environment.
