Overview

A well renowned ex magic circle firm are looking for a Corporate Finance Associate to join their team in London. The corporate finance team advises across a range of practice areas, including mergers and acquisitions (both public and private), equity capital markets (including Main Market listings and AIM admissions), joint ventures, private equity and venture capital investments and corporate reorganisations. In addition we advise corporate clients on governance and constitutional matters. The role sits within the corporate finance team which currently comprises 16 partners and 22 associates. All associates within the team are actively encouraged to work for a wide range of partners to broaden their experience and expertise across the corporate disciplines, with the emphasis on flexibility of approach and being an "all-rounder". The corporate team are given commercial and transactional support by experienced, high quality specialists in banking, commercial contracts, competition, tax, employment and pensions, intellectual property, information technology, intellectual property and financial regulatory issues. The department runs regular legal training sessions and roundtable discussions covering the core practice areas listed above, as well as associate development centres at junior, mid and senior level, focusing, depending on seniority, on performance management, financial and risk management, and business development. The ongoing support and development of our associates is regarded as essential to our future growth and success. Main Responsibilities Clear, concise and unambiguous preparation and drafting of corporate and transaction documentation Negotiation of transaction documents and provision of commercially minded legal advice as an integral part of our clients' deal team Liaison with clients, specialist lawyers and other service providers in managing transactions Building excellent working relationships with clients and peers within SH Developing own informal internal and external network of contacts Participating in and contributing to business development and profile-raising events such as client seminars Conducting legal research using internal and external knowledge management resources Attributes / Skills Required Strong technical abilities Broad range of corporate transactional experience, ideally to include private and public M&A; joint ventures; private equity and venture capital investments Capital markets experience ideally should include new issues (whether main list or AIM) and secondary issues (rights issues and placings), acting for both issuers and financial intermediaries Corporate governance experience should include DTR's and Listing Rules advice as well as practical corporate support, including for example Articles of Association preparation and Annual Report reviews Ability and desire to work within a growing, ambitious and entrepreneurial team Background in a firm with an excellent corporate reputation Ability to acquire, consolidate and apply fundamental and up-to-date knowledge of the law Accuracy and attention to detail Excellent verbal communication skills Organised and able to work to strict deadlines with the ability to prioritise realistically Good housekeeping/file management practices; managing and recording time promptly and accurately Resilient with the ability to handle setbacks and pressure Cooperative and collaborative in approach and able to develop excellent working relationships at all levels and within all roles Ability to operate professionally and proactively at all times Self aware and an active participant in self development Flexible, a lateral thinker Exhibits an understanding of the Firm's position in the market and how it distinguishes its services from its competitors Excellent academic and professional qualifications
