Overview

A US software/SaaS technology business has created an opening for a Junior Corporate TECH M&A Lawyer with at least 1yrs PQE. You will work alongside other teams within the Legal function to maintain a consistent end-to-end legal support to wider business colleagues on M&A transactions. Your main role is to provide 1st class end-to-end M&A legal advice whilst working closely with the Corporate Development Team on the execution of transactions across EMEA. You will report to the UK General Counsel and work alongside other teams within the Legal function where you will primarily focus on M&A legal advice and lead on transactional work in a leadership role. You will help grow the Corporate Development Team in respect of transactions in multiple jurisdictions (and often cross border), adopting a collaborative business partnering approach. You will ensure M&A governance is obeyed legal and non-legal team members to ensure the company is prevented of legal risks within the M&A process. As the company's lead Corporate M&A Lawyer you will actively participate in all assigned projects and deals as a core team member, including delivery or core legal M&A activity and accountability. You will advise and assist the Deputy General Counsel on other strategic corporate projects, such as share buybacks, rights issues, special dividends, bond issuances and debt financing. An exciting part of this role requires you to build a strong working relationship with key stakeholders and wider business colleagues and pro-actively assist with the elimination of inefficiencies. You must be a pragmatic lawyer who can advise, influence and support key stakeholders at all levels across our worldwide operations to ensure close alignment between the Legal function and business areas and identify and progress value creation opportunities. For this role candidates will need to have a minimum of 1 yrs PQE within M&A and drafting and reviewing, lawyers with experience of both UK and US transactions would be advantageous. Must be competent in advising on equity and/or DCM transactions and have a natural flair in providing general corporate ad hoc legal advice. Must be currently working for a leading City Law Firm or in-house with Corporate M&A experience. My client is more focused on the quality of the candidates Corporate M&A experience, so sector is less important however it would be advantageous for candidates to have some exposure within SaaS, Cloud, commercial contracts, data privacy and experience of working in commerce (particularly within the Technology sector). In addition, you will need experience of advising publicly listed companies and familiarity with obligations affecting listed companies. Experience working on financing and refinancing transactions would be advantageous.
