Commercial law firm in Leeds is looking to recruit a Commercial (Corporate Governance) Solicitor of 0 to 3 years’ PQE. The team operates as part of the firm's Corporate and Commercial Division and focuses on addressing the governance needs of directors, general counsel and company secretariats of larger private, listed and AIM quoted companies. The team acts as trusted advisors and offers a broad range of governance and regulatory compliance advice, training and services. If you are curious about the inner workings of listed and larger private companies and would like the opportunity to work with clients' boards and senior executives on high profile matters, including market announcements, their board and governance structures, their shareholder meetings including their AGMs and significant shareholder communications including their Annual Reports, then this is a role you should consider. You will have the opportunity to build your own client base and relationships as part of one of the leading UK teams in this area. General day-to-day matters which you will work on include: • providing general advice on directors' duties and conflicts of interest • giving update training and inductions of directors, general counsel and company secretaries • drafting and reviewing the documentation underpinning shareholder meetings • drafting and reviewing Annual Reports • drafting and updating company constitutions, board terms of reference and associated policy documentation • enhancing existing and developing new content for our Governance & Compliance Portal. You do not necessarily need any previous experience of advising clients in this area but will need a good grounding in company law. You will handle your own matters (with supervision) and assist the rest of the team on more complex matters. You can expect to enjoy a high standard of work, have frequent client contact and to play a significant role in working for clients that are key not only to the team but the firm as a whole. You will be given a significant amount of responsibility and encouraged to develop and build relationships with new and existing clients.
