Our particular specialism is supporting companies through IPOs and working with Investment Trusts. Job Description You will work closely with others to deliver the full range of company secretarial services to a diverse portfolio of UK and international clients, including high-profile listed companies. Responsibilities include: • Full support to private and listed company Boards and committees, including attendance at the meetings in a minute taking and advisory capacity • Providing advice and guidance on corporate governance best • Ensure compliance with all Stock Exchange requirements including all listing, statutory and regulatory requirements, stock market announcements and compliance with Market Abuse Regulations (MAR) • Drafting and reviewing the non-financial sections of Annual Report and Accounts, and project managing the process where appropriate • Regulatory , statutory and governance reporting requirements - maintenance of corporate registers, director details and records for client entities • Preparing and filing of relevant statutory submissions and returns on behalf of the clients • Preparing, coordinating and releasing regulatory announcements on behalf of the client companies using a range of RIS portals • Organising and managing the annual and other general meetings, including the preparation of all relevant notices • Preparing reports to clients on developments in corporate governance As a qualified member of our team, you will oversee and review the work carried out by more junior colleagues and support in the development of graduate trainees and/or part qualified members of our team. Someone who enjoys establishing and developing proactive relationships and a varied remit. With experience in or an interest in people management. To be considered you must be ICSA qualified, be adaptable and have a can do attitude. You will ideally have listed company, board facing and/or investment trust experience or have worked in a professional services environment before.
