Overview

Remuneration: c£400 per day Hours Required: up to 4 days per month Purpose of the role: To be the independent chair of a new Board of Directors, offering leadership, guidance and an objective perspective to the Board and senior management on key matters of organisational strategy, management, structure, development, risk management and commercial and financial affairs. To play a key role in the strategic decision making processes of the organisation. To hold the Chief Executive to account on behalf of the Board. Main responsibilities: Contributing to the delivery of strong organisational governance, ensuring the organisation is operating in the public interest and in a transparent and ethical way to fulfil its objectives. To act as an unbiased, objective and impartial member of the Board, ensuring that all decisions taken are in the best long term interest of the organisation, its stakeholders and employees. Provide leadership to the Board ensuring its effectiveness in all aspects of its role, and take responsibility for setting its agenda. To offer advice and guidance in a consultative capacity to the wider Board and Chief Executive as required. Promote the vision, values and objectives of the organisation and take an active role in developing the organisation’s strategy. To ensure that the Board operates in line with accepted good practice in terms of Corporate Governance. Ensuring that the finances of the organisation are managed properly with accurate, robust information. Support and facilitate organisational change and strengthened governance arrangements to ensure that the organisation continues to deliver high quality services. Experience and Qualifications Board level experience at a senior level. Sound understanding of corporate governance. Track record of active leadership and achieving positive change. Ability to scrutinise and monitor systems, process and outcomes. Proven track record in a similar environment. Knowledge and Skills Ability to think and operate strategically. Ability to handle internal and external stakeholders at all levels, challenging ideas as appropriate. Bring an entrepreneurial mindset alongside create and flexible thinking. Inclusive style of decision making. Ability to promote and establish collaborative working relationships with other members of the Board, Management team and staff. Demonstrate leadership, management and organisational skills, including fairness and impartiality and openness to new ideas and information. Political sensitivity and an ability to establish positive relationships, with a wide range of stakeholders, which engender confidence and respect.
