Citi enables clients to achieve their strategic financial objectives by providing them with cutting-edge ideas, best-in-class products and solutions, and unparalleled access to capital and liquidity. **Role Overview:** An opportunity has arisen in the Belfast Markets Legal Department for an In-House Legal Counsel to support the Sales and Trading business within Citi's franchise in the Institutional Client Group. This role will involve working closely with internal clients as well as Sales and Relationship Managers and Citi Product Legal Counsel in negotiating, reviewing and analysing legal documentation for the relevant business. The role includes drafting, negotiating, co-ordinating, implementing change initiatives and providing legal advice in relation to a variety of trading agreements, such as ISDA Master Agreements, Credit Support Annexes, Account Control Agreements, Termination Agreements, Cleared Swap Documentation, FX/PB Agreements including Give-up Agreements across a wide range of counterparty types, and in compliance with Citi's policies and procedures. The candidate must also participate in the development and implementation of key processes and controls when documenting new clients, addressing governance / control issues when they arise and escalating where appropriate. The position will require a strong awareness of the impact of core regulation on the derivatives markets and underlying documentation. The successful individual will work on reviewing/negotiating a broad range of standard legal agreements but must also be comfortable to use bespoke documentation structures. The Senior Counsel is a senior professional position responsible for accomplishing results through direct day-to-day legal activities in coordination with the Legal team. The overall objective of this role is to provide legal support, advice and guidance across a broad range of practice areas. **Responsibilities:** + Negotiating/reviewing legal agreements with internal/external customers to reach agreement on the contents of the Bank's legal documentation, through telephonic or electronic negotiation and legal lock in sessions / client meetings (where required). + Close liaison with internal businesses/London Legal in connection with the negotiation of legal agreements. Convey strong commercial awareness and understanding of the desk's priorities by ensuring prioritisation of file load is aligned with overall desk goals. + Work closely with Sales and Relationship Managers and Product heads to manage customer expectations and ensure documentation is in place ahead of regulatory or business deadlines, where required. + Interpret key commercial concepts from an array of trading agreements (including ISDA Master Agreements, Credit Support Annexes, Termination Agreements, Cleared Swap Documentation, FX/PB Agreements including Give-up Agreements and incorporate into EMEA specific documentation, accounting for the necessary regulatory and/or jurisdictional changes where required. + Apply in-depth understanding of how associated risks differ depending on product and documentation envisaged in relevant jurisdiction(s) and advise Risk and Business accordingly. + Ensure Citi's internal and regulatory policies are maintained, and where deviations are necessary, ensuring appropriate risk and / or business approvals are obtained. + Contribute to the development and implementation of process improvements, through liaising with internal stakeholders such as Risk, Client Risk Facilitation, Client Onboarding, Regulatory Reform, CVA, Operations and Legal. + Develop and maintain up to date approval matrix/know how documentation for the benefit of the Belfast Markets Legal team. + Provide formal training sessions where required to Belfast Markets Legal team and supporting functions (including Client Onboarding). + Ensure key governance and control checks are implemented during documentation process; proactively identify and escalate issues within the relevant business. + Identify inefficiencies / bottle necks in onboarding and documentation process. Liaise with key stakeholders to provide solutions and implement changes that will enhance client service. + Understand impact of Dodd Frank, EMIR, FATCA, MRNCCD and other applicable regulations on the business area and ensure that agreements meet with such regulatory requirements. + Comply with internal and external audits requests to include supplying client documentation and other relevant information as requested by auditors in accordance with specified timeframes. + Problem solve in ord
