Very exciting opportunity at Investment Management Firm based in London They are looking for a Senior Legal Counsel to join them on a 12 month FTC. About the role: -As a member of the legal team, Senior Legal Counsel will be expected to work on all legal matters relating to the wider business. -This will include reviewing, drafting and negotiating a range of documents and dealing with legal questions as they arise across the business. -In particular, Senior Legal Counsel will focus on working with the Product Solutions team to provide legal support in relation to the development of new products and the launch and maintenance of new and existing funds. -Senior Legal Counsel will be directly responsible for identifying and managing legal risk across the business generally and within the funds business, negotiating contractual documentation, liaising with external counsel/counterparties and regulators and providing advice to business units on legal and regulatory matters (including advice in relation to cross border sale and marketing activities). -The role includes a strong business-facing component with interaction with investment managers, client teams, compliance, senior management and fund directors. Main Duties: -Review, draft and negotiate contractual documentation for the UK group companies, with primary focus and specific responsibility for the UK and Irish fund range and product related documentation (e. incorporation documents, prospectuses, supplements, KIIDs application forms etc.) and all related legal agreements (e. investment management agreements, administration, custodian and depositary agreements, ACD agreements), in conjunction with external lawyers (as required). -Responsibility for dealing with regulatory and legal requirements in connection with the launch, merger and ongoing maintenance of funds, including cross border issues, in conjunction with the compliance team. -Experience and ability to draft and negotiate trading documentation including MiFID TOBs, ISDA and related documentation, preferred. -Assisting with U. Securities law, data protection, property, insurance, IP/IT, and litigation issues as required (with the assistance and/or direction from Acting Head of Legal and external lawyers). -Assisting with U. Qualification & Experience required: -Law degree with minimum of 4 years PQE with previous funds experience gained either in private practise or an in-house role. -Suitable legal experience/qualifications (law degree). -Excellent interpersonal and communication (written and oral) skills including in conference and during negotiation. -Excellent analytical and drafting skills with ability to see issues from a commercial perspective and able to communicate complex legal advice to internal clients effectively. -Highly organised, excellent administrative skills with the ability to work to deadlines and to prioritise conflicting objectives. Manages own projects as appropriate without large amounts of supervision and can manage business and internal client expectation. -Strong leadership skills. Motivated team player; ability to liaise with other departments with willingness to help others and share information and knowledge to help deliver a joint outcome. -Takes the initiative and has good judgement in terms of own resource management and involving others. Team player and a strong independent worker. -Seeks out the view of others and willing to share knowledge with others proactively. -Takes responsibility for personal and professional ethics, understanding of reputational risk and the regulatory framework, prepared to seek advice where appropriate -Ability to take instructions from the business and execute accordingly.
