Overview

Providing day to day management for the Group statutory records for all subsidiary companies and assisting with or making statutory filings on behalf of subsidiary companies, to ensure that Finastra is compliant for all of its entitites located in 45 countries. Responsibilities & Deliverables: Your deliverables will include, but are not limited to, the following: Day to day management of the Group statutory records of all subsidiary companies worldwide including the UK (115 entities across 45 countries). Ensure statutory and regulatory compliance by the Group’s UK and overseas subsidiaries are maintained including: providing assistance with the approval process and filing of accounts globally; liaising with providers and internal stakeholders for the filing of overseas subsidiary annual returns and accounts; various tasks related to and including checking of subsidiary statutory data in financial statements; and maintaining the subsidiary compliance tracker. Manage and execute ad hoc projects, such as name changes, director changes, change of year end, registered office and auditors etc. Provide assistance to entity rationalisation project (mergers, liquidations etc) and liaise with external and internal stakeholders on a continuous basis. Support all other function lines finance (e.g. extension of financial deadline), treasury (e.g. set up banking panel), tax (e.g. payment of dividends), facilities (e.g. approval of leases). Liaise with providers worldwide to ensure all corporate changes are filed locally and once complete, update the relevant systems (Diligent, Salesforce, Group Structure Chart etc.). The key is to ensure that all company information is up-to-date, complete and communicated to internal stakeholders. Draft board and shareholder resolutions in relation to regular and ad hoc company secretarial matters. Assist with vendor relationships across all company secretarial providers and ensure expenditure is aligned to the function budget. Maintenance of group structure chart. Organise notarisations and legalisations globally. Deal with Power of Attorneys and relevant board support. Administrative tasks would involve processing of invoices and maintaining the company secretarial trackers. Required Experience: • Prior experience in a busy Corporate Secretarial team, private practice or in-house, would be an advantage. Member of ICSA or a desire to successfully complete the ICSA Qualification. Ability to work in a very fast-moving environment. Experience of maintenance of company secretarial databases, preferably Diligent (or a similar database). Work closely to deadlines. Excellent interpersonal skills to be able to liaise with all levels of management. Positive, motivated, fast learner with a flexible approach.
