Job Description
Role summary: We are seeking a Company Secretarial Assistant for Sanne Group plc and its subsidiaries ("Sanne entities") and wish to recruit a candidate who is bright, conscientious, hardworking, determined, driven, organised and has great written English with a real interest in writing and grammar, to work closely with and assist the Head of Company Secretariat and the Assistant Manager in carrying out their duties. The individual will report to the Head of Company Secretariat. The candidate is likely to be a part qualified ICSA. Key responsibilities : * Assisting the Head of Secretariat and Assistant Manager in carrying out their duties to the Board, and the Risk, Audit Remuneration, Nomination, Executive and Disclosure Committees; * Responsibility for collating and circulating plc Board and committee papers via Board IQ; * Maintenance of statutory files, minute books and other records; * Act as secretary to the Global Company Secretariat monthly meetings; * Responsible for maintaining the Group Procedures Manual; * Provide administrative support and assist in the smooth running of the Workforce Advisory Panel; * Maintain a weekly task list and arrange team meetings; * Assist in maintaining the Company's Stock Exchange Listing; * Assist in the maintain the Company's obligations in relation to the Listing Rules, UK Corporate Governance Code, Disclosure Guidance and Transparency Rules, Market Abuse Regulation and all other associated regulations relating to the plc Board and Board committees; * Prepare and release/ distribute Sanne Group plc RNS announcements, ensuring all internal controls are observed and regulatory deadlines adhered to; * Provide support for inside information and Dealing Policy processes; * Assisting in the record keeping of Directors' and PDMR conflicts of interests and SANNE shareholdings; * Assisting in the arrangements in respect of the AGM and EGMs and assist in the drafting the documentation such as Notice and Chairman's script for these meetings; * Overseeing the Company's Registrars and the management of the dispatch of documents to shareholders. Manage voting proxy agency relations and investor queries; * Assisting with the long term incentive plans; * Year End - assisting with the year-end process including liaising internally with colleagues and externally with service providers in providing information required for year-end audit internally and by the Auditors; * Assist in drafting relevant sections of the Annual Report (Inc. corporate governance, remuneration and directors' reports). Assist in the management and dispatch of documents to shareholders; * Dividends - assist in the preparation of dividend documentation with the Registrars. Setting dividend timetable and arranging payment of dividends with Group Finance department; * Acquisitions and Disposals - assist in the implement and integration of corporate acquisitions; * Keep up to date with market/ regulatory developments and ensure the department acts in line with current best practice; * Perform such other additional administrative duties as are necessary to support the Secretariat function. Skills / experience required: * Some Company Secretarial experience preferably, but not essentially, within a UK listed environment; * Excellent organisational skills and ability to work in a team; * Excellent attention to detail and excellent minute writing skills are essential; * Excellent IT skills; * Working knowledge of UK Company Law and possibly UK Listing Requirements of the Company and the Company Secretary's role; * Ability to communicate with all levels within the business in a clear and articulate manner; * Ability to work to deadlines.
