Corporate Solicitor 5 Years PQE Redhill, Surrey A highly regarded legal practice with multiple offices is seeking an experienced Corporate Solicitor from a reputable firm to join their leading team in Redhill. The team and wider firm are highly accredited in the Legal 500. The team are acknowledged for providing a first-class service to high net worth clientele across a range of transactions. This is an excellent opportunity to develop an existing mixed caseload with an exceptional miscellaneous client base ranging from family run entities and SME's to international businesses in sectors including Food & Beverage, Agricultural and Rural, Automotive, Technology, Education and Healthcare. Areas of focus may include: Mergers, demergers, acquisitions and disposals Asset sales and share sales Management buy-outs and buy-ins Restructuring, reorganisation and demergers Joint ventures Shareholder, partnership and franchise agreements Equity investment, equity reorganisation and capital reduction Employee share schemes (EMI, CSOP, SIPS) Group restructuring and reorganisation Incorporation of companies, partnerships and LLPs Partnerships, joint ventures, and shareholder agreements Private equity and venture capital investment Finance, banking and taxation Commercial contracts and agreements Regulatory and legislative issues Restructuring and insolvency strategies Exit and succession planning Duties will include, but are not limited to: Managing your own caseload, providing clear and concise advice Assisting the team with larger scale, complex transactions Attending to clients of the firm Drafting a wide range of legal documentation such as Contracts, Standard Terms and Conditions of Sale and Shareholder Agreements Making amendments to Articles of Association Preparing Board Minutes and all Companies House forms, ensuring filing of all statutory documents Active involvement within business development Maintaining a professional and polite demeanour at all times Support is provided to all fee earning members of the team The successful candidate must be at least newly qualified with a substantial amount of experience within private limited company M&A transactions, acquisitions and disposals, demergers, group reorganisations and corporate advisory work.
