Overview

Managing Partners Capital Limited is the UK subsidiary of the Managing Partners Group ("MPG"), an international multi-disciplined fund management group. The Compliance and Legal Executive's role is to provide corporate, compliance and legal services support to the group and also a wide range of offshore companies and investment funds that are managed by the group. Reporting the Head of Investments and Directors, this is a full-time role that would suit an experienced individual whom has previously or is currently working in a similar role and environment. It will only be possible to consider applicants with suitable similar experience. Whilst primarily administrative, all staff are encouraged to utilise their respective skills and abilities in other areas of company’s activity to further their own career development. This role would suit an individual that has experience and background in; financial services, compliance, corporate services, fund administration or legal. This position will involve working as a member of the Corporate Services Team which based across mainland Europe. Key Responsibilities 1) Corporate Services Creation and updating of Company terms of business documentation Drafting of non-disclosure and confidentiality agreements Production of Investment Management and Advisory agreements from draft to final versions Preparation and circulation of Fund resolutions Arranging the execution of resolutions and agreements Assist with the maintenance of documentation and literature Assist with the incorporation of new companies and funds Assist with the distribution of shareholder correspondence Ensure high quality and continuous improvement in service delivery Maintenance of Group Organograms Drafting and submission of Fund subscription documents Assist with the opening of corporate, banking and trading accounts Assist with the formation of structures Communicate competently with external counterparts 2) Compliance, assist with; Compliance review of Group and Fund websites Produce and maintain Company and Fund disclaimers Compliance Review of marketing and promotional material Compliance Review of Fund application documents Assist to ensure that corporate records are maintained accurately Assist with statutory filings Creation and maintenance of internal & external due diligence documents FATCA and CRS compliance, monitoring and reporting GDPR Anti-Money Laundering regulations and processes - UK and Cayman Islands Drafting and implementing processes and procedures Regulatory financial reporting Person Specification Abilities A very good eye for detail with a systematic approach to work Previous experience of working in a busy office environment is essential Previous Corporate Services experience would be a significant advantage Understanding of corporate governance Understanding of compliance functions and legal reporting obligations Understanding of Investment Fund structures Able to work under pressure Self-motivated with a proactive approach Able to work cooperatively within a team Excellent inter personal skills Confidentiality and discretion Flexibility dealing with multiple and varying duties concurrently To use initiative in a variety of challenging situations Ability to contribute to groups discussions in a thoughtful manner Sensitivity and diplomacy Confidence and self-driven Key Desirable Skills Excellent organisational and administrative skills Understanding of investment fund structures Understanding of financial regulations Understanding of investment processes Strong MSOffice skills, including email, spread sheets, word processing Excellent communication skills, both oral and written Excellent, polite, professional, friendly telephone manner Ability to maintain boundaries and clear delineation of responsibilities in a task or situation Ability to organise time management and personal workload planning FATCA and CRS reporting GDPR Anti-money laundering laws and procedures - UK & Cayman Islands The candidate must be willing and able to travel to other European offices on request and have a valid passport.
